Terms of Service

1. Services

AppVentures provides technical consulting, product development, and strategic support to startup founders. Scope, deliverables, timelines, and fees are set out in each project proposal or statement of work.

2. Client Responsibilities

• Provide clear project requirements, access to any necessary accounts or codebases, and timely feedback.
• Designate a point of contact with decision-making authority.
• Respond to AppVentures' requests within 3 business days to avoid delays.

3. Fees & Payment

• Fees are as quoted in your proposal and due according to the payment schedule.
• Invoices not paid within 15 days may incur a late fee of 1.5% per month.
• We reserve the right to suspend work if payments become overdue.

4. Intellectual Property

• You retain ownership of all pre-existing IP you provide to us.
• On full payment, AppVentures assigns to you all rights, title, and interest in the deliverables we create for your project.
• We may showcase non-confidential deliverables as portfolio examples, unless you request otherwise in writing.

5. Confidentiality

• Each party agrees to keep the other's confidential information secret and use it only for project purposes.
• 'Confidential information' means any non-public business or technical data, whether oral, written, or electronic.
• This obligation survives termination of these Terms.

6. Warranties & Disclaimers

• We warrant that our services will be performed with reasonable skill and care.
• Except as stated above, AppVentures makes no other warranties, express or implied, including merchantability or fitness for a particular purpose.

7. Limitation of Liability

• To the maximum extent permitted by law, AppVentures' total liability for any claim arising out of these Terms will not exceed the total fees paid by you for the specific services giving rise to the claim.
• AppVentures is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or loss of data.

8. Termination

• Either party may terminate a project for cause if the other party materially breaches these Terms and fails to cure within 14 days of written notice.
• On termination, you will pay for all work performed through the termination date.

9. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California.

10. Changes to Terms

We may update these Terms at any time. We will post the revised version on our website with a new "Last updated" date. Your continued use of our services constitutes acceptance of the updated Terms.
